Please read these Terms and Conditions ("Terms", "Terms and Conditions") carefully before using the Framify website (the "Service") operated by Andify OÜ ("us", "we", or "our"). Your access to and use of the Service is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who wish to access or use the Service. By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, then you do not have permission to access the Service.

1. Communications

By creating an Account on our Service, you agree to subscribe to newsletters, marketing or promotional materials, and other information we may send. However, you may opt-out of receiving any, or all, of these communications from us by following the unsubscribe link or instructions provided in any email we send.

2. Purchases

If you wish to purchase any product or service made available through the Service ("Purchase"), you may be asked to supply certain information relevant to your Purchase, including, without limitation, your credit card number, the expiration date of your credit card, your billing address, and your billing information.

3. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

4. Content

Our Service allows you to post, link, store, share, and otherwise make available certain information, text, graphics, videos, or other material ("Content"). You are responsible for the Content that you post on or through the Service, including its legality, reliability, and appropriateness.

5. Third-Party Services

The Service may offer integrations with third-party services such as Google OAuth for account creation and Stripe for payment processing. We are not responsible for the data handling and privacy practices of these third-party services.

6. Changes

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

7. Limitations

By using the Framify website, you warrant on behalf of yourself, your users, and other parties you represent that you will not:

• Use this website or its associated services to transmit or publish any harassing, indecent, obscene, fraudulent, or unlawful material;

• Use this website or its associated services in violation of any applicable laws or regulations;

• Use this website in conjunction with sending unauthorized advertising or spam;

• Harvest, collect, or gather user data without the user's consent;

• Use this website or its associated services in such a way that may infringe the privacy, intellectual property rights, or other rights of third parties.

• Knowingly or negligently use this website or any of its associated services in a way that abuses or disrupts our networks or any other service Framify provides;

8. Liability

Our website and the materials on our website are provided on an 'as is' basis. To the extent permitted by law, Framify makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property, or other violation of rights.

9. Links

Framify has not reviewed all the sites linked to its website and is not responsible for the contents of any such linked site. The inclusion of any link does not imply endorsement, approval, or control by Framify of the site. Use of any such linked site is at your own risk, and we strongly advise you to make your own investigations with respect to the suitability of those sites.

10. Use of Testimonials and User Comments

Permission for Use: We may display personal testimonials of satisfied customers and other endorsements on our Service. With your consent, we may post your testimonial along with your name. If you wish to update or delete your testimonial, please contact us at support[at]framify.io.

Public Statements: If you make any public statements about our Service on social media or other platforms (such as Twitter), we may use these public statements as testimonials on our website. We will respect your privacy and will not link these statements to your personal information without your explicit permission.

Accuracy and Fair Representation: We are committed to accurately representing the nature of the testimonials and ensuring that they reflect the genuine opinions and experiences of our users. We do not alter these statements except to correct grammatical or typing errors.

Right to Refuse or Remove: We reserve the right to refuse to post or remove any testimonial or user comment for any reason, particularly if they are not in line with our Service's values or if they contain inappropriate, offensive, or misleading content.

Non-Endorsement: The testimonials on our website are individual experiences, reflecting real-life experiences of those who have used our products and/or services in some way. However, they are individual results and do not necessarily represent all those who will use our products and/or services. The testimonials are not necessarily representative of everyone's experience and should not be taken as a guarantee of results or experiences.

No Compensation: Testimonials and comments are not solicited through monetary compensation and are provided by individuals of their own free will. Individuals are not paid for their statements, though we may provide a token of appreciation in some cases (such as discounts or free services) in gratitude for the time and effort taken to share their experiences.

Marketplace Commissions and Pricing

1. Selling

Users may also upload and sell their own UI Kits ("User Products"). Upon uploading UI Kits or other content ("User Products") to the Framify marketplace, you affirm that you are the sole owner or have obtained all necessary licenses, rights, consents, and permissions to use and to authorize us and users of the Service to use the User Products in the manner contemplated by the Service and these Terms. By uploading User Products, you grant us a license to use, display, and distribute these products. You are solely responsible for any legal or financial implications related to your User Products.

2. Marketplace Content Rights

As a marketplace seller, you grant Framify a worldwide, non-exclusive, royalty-free, sub-licensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Products in connection with the Service and Framify's (and its successors' and affiliates') business, including without limitation for promoting and redistributing part or all of the Service in any media formats and through any media channels.

3. Marketplace Purchases

As a buyer, you are granted an unlimited use license for any UI Kit you purchase from the marketplace. This means you can use the components from the UI Kit in multiple projects without any additional fees or royalties. Purchased kits cannot be redistributed or resold, with or without modification.

If you purchase a UI Kit from the Framify marketplace and decide not to use any of the components within, you are eligible for a refund within 14 days of the purchase date. Refunds will not be granted if any component from the UI Kit has been used in any capacity. We reserve the right to confirm the non-use of components before issuing a refund.

4. Marketplace Fees and Commissions

By selling your User Products on the Framify marketplace, you agree that Framify is entitled to a 15% commission on each sale made. This commission rate is subject to negotiation on a case-by-case basis. However, Framify reserves the right to alter the pricing guidelines, commission structure, promotional offers, and discounts at any time. Changes will be communicated to users in accordance with the "Changes" section of these Terms.

5. Seller Earnings

Framify is not responsible or liable for fees that sellers do not receive due to promotions, discounts, or changes in the commission or pricing structure of the Marketplace. Sellers are expected to price their User Products accordingly, taking into account possible changes in commission rates.

6. Plugin-Dependent Products

If your User Product requires plugins to function as depicted, you must clearly state this in the product description. Users will be responsible for acquiring and installing the necessary plugins. Failure to disclose this information may result in your User Product being removed from the Marketplace and/or your account being suspended.

Disclaimer of Responsibility for Third-Party Content

1. Third-Party Content and Services

While Framify facilitates a marketplace for User Products, it does not guarantee the quality, functionality, or legality of any third-party content, including plugins required by templates sold on the Marketplace. Users are advised to exercise due diligence when selecting and using third-party content.

Termination and Changes in Marketplace Participation

1. Changes in Marketplace Structure

Framify retains the right to change the operational structure of the Marketplace at any time, which includes but is not limited to, the commission rate, the method of transaction, and the features offered. Framify will provide reasonable notice of such changes in accordance with the "Changes" section of these Terms.

2. Termination from Marketplace

Framify reserves the right to terminate a seller's participation in the Marketplace for any reason, at its sole discretion, including but not limited to, breach of these Terms, poor performance, or customer complaints. Termination may result in the forfeiture of any pending transactions or earnings.
